- Parties (source agreement): Everything Nubian LLC (“Company”) and Ihab Kamal Abdelmoneim (“Sourcing Agent”).
- Purpose: Papyrus Project — sourcing papyrus paper and related materials in Egypt for custom printing and resale in the United States, plus sourcing and coordinating hand-painted or artist-produced papyrus artwork made in Egypt for shipment to the United States.
- Scope of services: Identify, vet, and negotiate with producers/suppliers; secure competitive pricing, quality, and reliable supply; coordinate QC, packaging, and export logistics; act as local point of contact; provide regular sourcing updates; coordinate artwork/hand-painted papyrus including QC, packaging, and shipment.
- Compensation (named sourcing agent): Five percent (5%) of Net Profits generated by the Papyrus Project, calculated and paid quarterly within thirty (30) days of each calendar quarter end.
- Independent contractor: Sourcing Agent is an independent contractor, not an employee, partner, or joint venturer.
- Term & termination: Either Party may terminate with thirty (30) days’ written notice; entitlement to 5% of Net Profits on inventory sourced prior to termination continues while that inventory generates sales.
- Confidentiality: Supplier pricing, business plans, and other non-public Company information must be kept confidential.
- Governing law: State of New Jersey, without regard to conflict of law principles.
